Terms of Service

Welcome to Dinna (the "App"), a mobile application designed to help households and groups coordinate daily dinner planning, meal voting, shopping, and cooking responsibilities. The App is owned and operated by Patchly LLC ("Patchly," "we," "us," or "our"), a Florida limited liability company.

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Patchly LLC governing your access to and use of the Dinna mobile application, including all features, content, and services made available through the App.

By creating an account or using the App, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional policies referenced herein. If you do not agree, you must not use the App.

2.1 Age Requirement
You must be at least thirteen (13) years of age to create an account and use the App. By using the App, you represent and warrant that you meet this age requirement. In compliance with the Children's Online Privacy Protection Act (COPPA), Patchly does not knowingly collect personal information from children under 13.

2.2 Account Requirement
Use of the App requires a registered account. You may sign in exclusively through supported social sign-in providers: Google and Apple.

2.3 One Account Per User
Each individual is permitted one (1) account. Creating multiple accounts is prohibited and may result in suspension or termination of all associated accounts.

2.4 Account Responsibility
You are solely responsible for all activity that occurs under your account. You agree to safeguard your authentication credentials and to notify Patchly immediately of any unauthorized access or use of your account.

3.1 Dinner Groups
The App allows you to create or join dinner groups ("Groups"). Groups serve as the core organizational unit for meal planning, voting, shopping, and cook assignments. A user may participate in multiple Groups simultaneously.

3.2 Head Chef
Each Group has a Head Chef, who serves as the group administrator. The Head Chef is responsible for managing the group calendar, approving or rejecting VIP meal picks, managing group settings, and overseeing group membership.

3.3 Chef's Hat Delegation
The Head Chef may delegate daily administrative responsibility to another group member through the Chef's Hat Delegation feature.

3.4 Tonight's Cook
Each day, a group member may be assigned or may volunteer as "Tonight's Cook," the individual responsible for preparing that evening's meal.

4.1 User-Generated Content
The App permits you to upload, submit, and share various forms of content, including but not limited to: meal photographs, avatar/profile photographs, meal suggestions and recipes, comments and feedback, and meal ratings (collectively, "User Content").

4.2 License to Patchly
By submitting User Content through the App, you grant Patchly LLC a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, display, distribute, and otherwise exploit your User Content solely in connection with operating, improving, and promoting the App.

4.3 License to You
Subject to your compliance with these Terms, Patchly grants you a limited, non-exclusive, non-transferable, revocable license to access and use the App on a compatible mobile device that you own or control, solely for your personal, non-commercial use.

4.4 Content Standards
You agree that all User Content you submit will comply with our content standards. You must not upload content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, infringing upon third-party rights, fraudulent, deceptive, containing malware, depicting violence or self-harm, sexually explicit, or in violation of our Meal Photo Guidelines.

4.5 Content Moderation and Reporting
The App includes an image reporting system that allows users to flag potentially inappropriate content. Reported images are subject to AI-assisted moderation review.

4.6 Enforcement
Patchly reserves the right to remove any content that violates these Terms or applicable law, and to suspend or permanently terminate the accounts of repeat or egregious offenders without prior notice.

5.1 Weekly Meal Voting
The App facilitates weekly voting among group members to determine upcoming meals. All group members in good standing may participate in the voting process.

5.2 VIP Rotation
Each Group features a VIP rotation system in which one member per week is designated to choose a special meal. VIP meal selections are subject to approval by the Head Chef.

6.1 Subscription Tiers
The App offers the following tiers:

• Core (Free): Basic access to the App's core features at no charge.
• Dinna Pro: Enhanced features available as an auto-renewing monthly subscription, including Supply Scout (AI ingredient identification), Recipe Finder (AI recipe suggestions), and additional premium capabilities.

Patchly LLC may introduce additional tiers or pricing options in the future. Any new tiers will be presented to users through the App with their respective features and pricing.

6.2 Free Trial
Upon creating your first Group, you will automatically receive a fourteen (14) day free trial of Dinna Pro features. This trial is administered by Patchly LLC and is not an auto-renewing subscription through the Apple App Store or Google Play Store.

At the end of the fourteen (14) day trial period, your account will automatically revert to the Core (free) tier. No charge will be applied to your Apple ID or Google account, and no subscription will begin unless you actively subscribe to Dinna Pro through the App.

If you subscribe to Dinna Pro during or after your trial, your subscription will be processed as an auto-renewing monthly subscription as described in Section 6.3.

6.3 Auto-Renewing Subscription Terms
Dinna Pro is offered as an auto-renewing monthly subscription processed and managed through the Apple App Store (iOS) or Google Play Store (Android). RevenueCat serves as our subscription management platform for receipt validation and cross-platform subscription state.

• Subscription price: $5.99 USD per month, or the equivalent in your local currency as displayed at the point of purchase.
• Payment will be charged to your Apple ID or Google Play account at confirmation of purchase.
• Your subscription automatically renews for another one-month period unless auto-renewal is turned off at least 24 hours before the end of the current billing period.
• Your account will be charged for renewal within 24 hours prior to the end of the current period at the then-current monthly rate.
• You may manage your subscription and turn off auto-renewal at any time through your Apple App Store or Google Play Store account settings after purchase.
• Patchly LLC does not directly process or store payment card information. Payment processing is handled by Apple, Google, and RevenueCat.

6.4 Refunds and Cancellations
All refund and cancellation requests must be submitted through the Apple App Store or Google Play Store in accordance with their respective policies. Patchly does not process refunds directly.

6.5 Downgrade Policy
If you downgrade from a paid subscription to the Core tier, your existing data will be retained; however, the creation of new content or features beyond Core tier limits will be blocked ("soft lock"). You may upgrade at any time to regain full access.

7.1 Supply Scout
Dinna Pro subscribers (and users in an active free trial) have access to Supply Scout, a feature that uses your device camera to scan and identify food supplies. Images captured through Supply Scout are processed using OpenAI's GPT-4o Vision model.

7.2 Recipe Finder
Dinna Pro subscribers (and users in an active free trial) may also access Recipe Finder, an AI-powered feature that generates meal suggestions based on identified supplies.

7.3 AI Disclaimer
All AI-generated outputs within the App are provided on an "as is" and informational basis only. Patchly makes no representations or warranties regarding the accuracy, completeness, reliability, or suitability of any AI-generated content. You acknowledge and agree that you use AI features at your own risk.

The App may send push notifications related to group activity, voting events, VIP rotation updates, cook assignments, and system reminders.

• A maximum of three (3) system-generated notifications per day.
• Quiet hours are enforced between 10:00 PM and 7:00 AM in your local time zone.

You may manage your notification preferences at any time through the App's settings.

The App caches certain data locally on your device to enable limited offline access. While basic viewing of cached content is available without an internet connection, certain features, including voting, content uploads, AI features, and real-time group updates, require an active network connection to function properly.

10.1 Ownership
All intellectual property rights in and to the App, including but not limited to the software, design, graphics, logos, trademarks, service marks, trade names, text, images, and all other content provided by Patchly, are and shall remain the exclusive property of Patchly LLC or its licensors.

10.2 Restrictions
You agree that you will not copy, modify, adapt, translate, or create derivative works based on the App; reverse engineer, disassemble, decompile, or otherwise attempt to derive the source code; redistribute, sublicense, lease, lend, rent, or otherwise transfer the App; remove proprietary notices; or use the App for any commercial purpose without prior written consent.

11.1 Deletion Process
You may delete your account at any time through the in-app account deletion flow. Upon initiating deletion, Patchly will perform a server-side data purge and anonymization process to remove your personal information from our active systems.

11.2 Effect of Deletion
Account deletion is permanent and irreversible. Upon deletion, your profile, User Content, group memberships, and associated data will be removed or anonymized.

11.3 Rate Limiting and Audit Logging
Account deletion requests are rate-limited to prevent abuse. All deletion actions are recorded in an audit log for security and compliance purposes.

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Patchly makes no warranty regarding the accuracy of AI-generated content. Patchly is not responsible for any adverse outcomes resulting from meals prepared using suggestions obtained through the App. Users are solely responsible for verifying ingredients, allergen information, nutritional content, and food safety. The App does not provide medical, nutritional, or dietary advice.

Patchly is not liable for disputes among group members. Any budget tracking features are provided for informational purposes only and do not constitute financial advice.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PATCHLY LLC, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

IN NO EVENT SHALL PATCHLY'S AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID TO PATCHLY IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

You agree to indemnify, defend, and hold harmless Patchly LLC and its officers, directors, members, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the App; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of a third party.

Patchly reserves the right to modify these Terms at any time. When we make material changes, we will notify you through the App or by other reasonable means prior to the changes taking effect. Your continued use of the App following the effective date of revised Terms constitutes your acceptance of those changes.

Patchly may suspend or terminate your access to the App at any time, with or without cause and with or without notice, including but not limited to situations where you breach these Terms. Upon termination, your right to use the App will immediately cease.

These Terms and any dispute arising out of or related to them or the App shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict-of-laws principles.

Any legal action or proceeding arising out of or related to these Terms shall be brought exclusively in the state or federal courts located in Hillsborough County, Florida.

18.1 Apple App Store
If you download the App from the Apple App Store, the following additional terms apply:

(a) Agreement Between You and Patchly. These Terms are between you and Patchly LLC only, and not with Apple Inc. ("Apple"). Patchly, not Apple, is solely responsible for the App and its content.

(b) Scope of License. Your license to use the App is limited to a non-transferable license to use the App on any Apple-branded device that you own or control, as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions.

(c) Maintenance and Support. Patchly is solely responsible for providing any maintenance and support services for the App as required by applicable law. Apple has no obligation whatsoever to provide any maintenance and support services with respect to the App.

(d) Warranty. Patchly is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the App purchase price (if any) to you; to the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the App.

(e) Product Claims. Patchly, not Apple, is responsible for addressing any claims by you or any third party relating to the App or your possession and use of the App, including but not limited to: (i) product liability claims; (ii) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation.

(f) Intellectual Property Rights. In the event of any third-party claim that the App or your possession and use of the App infringes that third party's intellectual property rights, Patchly, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.

(g) Legal Compliance. You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

(h) Third-Party Beneficiary. You acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of these Terms, and that upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary hereof.

18.2 Google Play Store
If you download the App from the Google Play Store, you acknowledge that Google LLC ("Google") is not a party to these Terms and has no responsibility or liability to you under these Terms. Your use of the App is also subject to the Google Play Terms of Service.

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

These Terms, together with the Privacy Policy and any other policies incorporated by reference, constitute the entire agreement between you and Patchly LLC with respect to the App.

The failure of Patchly to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
